1. Your relationship with ZhiChi

1.1 Your use of ZhiChi’s products, software, services and web sites (referred to collectively as the “Services” in this document and excluding any services provided to you by ZhiChi under a separate written agreement) is subject to the terms of a legal agreement between you and ZhiChi. “ZhiChi” means ZhiChi Inc., This document explains how the agreement is made up, and sets out some of the terms of that agreement.

1.2 Unless otherwise agreed in writing with ZhiChi, your agreement with ZhiChi will always include, at a minimum, the terms and conditions set out in this document. These are referred to below as the “Universal Terms”.

1.3 Your agreement with ZhiChi will also include the terms of any Legal Notices applicable to the Services, in addition to the Universal Terms. All of these are referred to below as the “Additional Terms”. Where Additional Terms apply to a Service, these will be accessible for you to read either within, or through your use of, that Service.

1.4 The Universal Terms, together with the Additional Terms, form a legally binding agreement between you and ZhiChi in relation to your use of the Services. It is important that you take the time to read them carefully. Collectively, this legal agreement is referred to below as the “Terms”.

1.5 If there is any contradiction between what the Additional Terms say and what the Universal Terms say, then the Additional Terms shall take precedence in relation to that Service.

2. Accepting the Terms

2.1 In order to use the Services, you must first agree to the Terms. You may not use the Services if you do not accept the Terms.

2.2 You can accept the Terms by:

(A) clicking to accept or agree to the Terms, where this option is made available to you by ZhiChi in the user interface for any Service; or

(B) by actually using the Services. In this case, you understand and agree that ZhiChi will treat your use of the Services as acceptance of the Terms from that point onwards.

2.3 You may not use the Services and may not accept the Terms if (a) you are not of legal age to form a binding contract with ZhiChi, or (b) you are a person barred from receiving the Services under the laws of the People's Republic of China or other countries including the country in which you are resident or from which you use the Services.

2.4 Before you continue, you should print off or save a local copy of the Universal Terms for your records.

3. Content in the Services

3.1 The "service" herein referred to, is through www.feydj.com, provides ZABCS service to the website.

3.2 ZABCS is operational on a 24 hours daily basis throughout the whole year, except during periods of maintenance.

4. Rights and obligations

4.1 ZhiChi has the obligation to provide ZABCS services.

4.2 It is prohibited for ZhiChi to run ZABCS in any illegal website or any websites which may commit crimes against the laws of the People's Republic of China. If this happens, ZhiChi Do not assume any responsibility for.

5. Confidentiality

5.1 Except as expressly set forth herein, the parties shall maintain in confidence the confidential Information of the other side. The parties shall not disclose such confidential Information to any third party without the prior written consent of the other side.

5.2 Both parties shall abide by the terms of confidentiality in this contract and accept the obligation to maintain the confidentiality of information after the termination of the contract. This obligation shall end only upon the consent of the other party.

5.3 After the termination of the contract, each party will return all information related to the other party.

6. Other provisions

6.1 In the case of any dispute under this contract, both parties shall try to resolve the issue through negotiation. If negotiation fails, both parties agree to submit the matter to binding arbitration in the People's Court of Chaoyang District, Beijing.

6.2 If ZABCS needs to shut down for a short while for maintance or detection of interference by any third party, the term of the contract shall be extended for a period equivalent to that of the shutdown, but no other kinds of claim for damages.

6.3 If either of the contracting parties is prevented from executing the contract by events of Force Majeure such as war , serious flood , fire , typhoon or earthquake , or other events agreed upon between the two parties, the party being prevented from executing the contact shall notify the other party of the occurrence of the Force Majeure event within five days. Both parties shall then seek to settle the problem of further execution of the contract through friendly negotiations as soon as possible.
